Terms of Service

1. Description of the Service

Fonda is a web-based platform, accessible via desktop and mobile browsers, that uses artificial intelligence and proprietary algorithms to help individuals generate, explore, structure, and validate business ideas.

The Service may include, among other features, idea generation, business planning, validation guidance, market exploration, website generation, pitch materials, and other tools designed to support the founder journey.

Access to the Service requires an active paid subscription, except during a valid free trial period as described in section 6.

2. Eligibility

You must be at least 16 years old to use the Service. The Service is currently intended for individual users and not for companies, unless otherwise agreed with Fonda.

3. User Accounts

You must create an account to access the Service. You may only create one account per user and must provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials.

You may benefit from one free trial only. Creating multiple accounts, or using multiple email addresses or payment cards, in order to obtain additional free trials constitutes misuse of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms, misuse the Service, create security risks, or otherwise harm the platform or other users.

4. User Inputs, Profiles, and Generated Content

You may provide information such as your skills, experience, interests, objectives, constraints, business ideas, project descriptions, CV, LinkedIn profile, or other professional information. This information is used to personalize the Service and help the AI model suggest relevant ideas, next steps, and business choices.

You retain ownership of the content you input into the Service, including your business ideas, personal profile information, LinkedIn profile data, CV, project descriptions, and any other materials you provide.

You also retain ownership of the business ideas, business plans, and other outputs generated for you through the Service, subject to Fonda retaining ownership of the platform, software, brand, workflows, templates, and underlying technology.

Ownership of content does not, by itself, include continued access to that content through the Service. Access to the platform and to content stored within it requires an active subscription, as set out in section 10. You may request a copy of your content at any time, free of charge, as described in that section.

User inputs and generated business ideas are private. They are not sold, shared with partners, or made available to other users. Fonda team members do not access user-generated business ideas or profile data as part of normal operations. Access may occur only where strictly necessary for security, debugging, legal compliance, support requested by you, or to protect the Service.

5. Privacy and Data Use

The Service collects and processes user data to operate the platform, personalize recommendations, generate relevant outputs, improve the user experience, and provide support. This processing is designed to allow the AI model and related systems to suggest the most relevant ideas, choices, and next steps for each user.

Professional profile information, including LinkedIn profile data, CV information, experience, skills, and business ideas, remains private and is not shared with third parties for their own use. Further information on how personal data is processed is available in our Privacy Policy.

You may exercise your data protection rights, including the right to obtain a copy of your personal data, at any time and regardless of the status of your subscription, by contacting hello@fonda.co.

6. Free Trial

New users may be offered a free trial of seven (7) days giving full access to the Service.

• A valid payment card is required in order to start the trial.
• One trial is available per user. Trials are not available to users who have previously held a Fonda subscription or trial.
• Unless you cancel before the end of the trial period, the trial converts automatically into a paid monthly subscription and the applicable fee is charged to the card provided.
• We will send you a reminder by email before the trial ends and before any charge is made.
• You may cancel at any time during the trial through your account. If you cancel before the end of the trial, no payment is taken.

We may modify, limit, or withdraw trial offers at any time for future users. Doing so does not affect a trial already in progress.

7. Subscription, Pricing and Automatic Renewal

Fonda is offered as a single monthly subscription plan at the price displayed at checkout. Prices may be presented in different currencies depending on your location.

Your subscription renews automatically each month, on the same date, until you cancel. The first payment is taken at the end of the free trial period, or immediately upon subscribing where no trial applies.

The material terms of the subscription, including the price, the billing frequency, and the date of the first charge, are displayed to you at checkout, and you are asked to confirm your agreement to them before any payment method is collected.

You may cancel your subscription at any time through the cancellation option available in your user account. Cancellation is effective at the end of the current billing period. You retain access to the Service until that date, and no further payments are taken.

We may change subscription prices. We will give you at least thirty (30) days’ notice by email before a price change takes effect for your account, and you may cancel before that date if you do not wish to continue.

Users who subscribed under a previous pricing plan may retain that plan and price where we have expressly confirmed this to them in writing. Such arrangements continue only for as long as the subscription remains active and uninterrupted.

If a payment fails, we may retry the payment over a limited period and will notify you. If payment cannot be collected, your subscription may be suspended or terminated and your account will be treated as being without an active subscription under section 10.

8. Right of Withdrawal and Refunds

Where you are a consumer resident in the European Union or European Economic Area, you generally have a period of fourteen (14) days in which to withdraw from a distance contract without giving a reason.

Because the Service is supplied to you immediately, you are asked at checkout to expressly request that performance begins at once and to acknowledge that, by doing so, you lose your right of withdrawal once performance has begun. This confirmation is recorded together with your order.

Subject to the paragraph above and to mandatory applicable law:

• Subscription fees already charged are non-refundable. Value is deemed to be provided upon access to the Service, including the generation of business ideas, business plans, and related outputs.
• Cancelling your subscription stops all future payments but does not give rise to a refund of amounts already paid, in whole or in part, including for any unused portion of a billing period.
• Fees paid for idea packs and other one-time purchases are non-refundable on the same basis.

As a limited exception, and at our discretion, we may refund a payment where the account has not been used at all following that payment.

Nothing in this section excludes or limits any right you may have under mandatory consumer protection law in your country of residence.

9. Idea Packs

Idea packs are optional one-time purchases giving access to a defined number of additional business ideas.

• Idea packs may be purchased only by users with an active subscription. They are not available to users whose account is without an active subscription.
• An idea pack does not extend, replace, or substitute for a subscription, and does not affect your billing date.
• Ideas generated from an idea pack you have purchased remain yours. If your account is without an active subscription, you may request a copy of them at any time, free of charge, by contacting hello@fonda.co.

10. Access, Suspension and Locked Accounts

Access to the Service, and to content generated within it, requires an active subscription.

If your trial ends without a subscription being taken, or if your subscription is cancelled, expires, or cannot be collected, your account will be locked. In that case:

• Your login credentials remain valid and you may continue to sign in.
• Access to the platform’s features, and to the business ideas, business plans, and other outputs previously generated in your account, is suspended until an active subscription is taken.
• We do not delete your content as a result of your account being locked, and access is restored when you subscribe.
• You may request a copy of your content at any time, free of charge, by contacting hello@fonda.co, whether or not you hold an active subscription.

These conditions are disclosed to you before you provide a payment method and before any charge is taken.

11. Payments and Taxes

Payments are processed securely through Stripe or another payment provider displayed at checkout. Prices are displayed in the currency shown on the Service or at checkout.

Prices displayed on the Service may be exclusive of taxes. Applicable taxes, including VAT where relevant, may be calculated and added at checkout based on your location and applicable laws. You are responsible for the payment of such taxes unless otherwise required by law.

12. Intellectual Property

Fonda retains all rights, title, and interest in and to the Service, including the platform, brand, software, workflows, templates, design, proprietary algorithms, and underlying technology.

You retain ownership of the content you input into the Service and the personalized outputs generated for you, including business ideas and business plans, subject to section 4 and section 10 regarding access to that content.

Any websites generated through the Service, and corresponding hosting or domain-related services, remain available only for the duration of an active subscription, unless otherwise agreed in writing. If your subscription ends for any reason, access to such websites, hosting, domain-related services, or other subscription-based outputs may be suspended or terminated at the end of the current billing period.

13. Use of AI and Limitations

Outputs generated by the Service are provided for informational and educational purposes only. They do not constitute legal, financial, tax, investment, medical, or other professional advice.

You are responsible for independently assessing any outputs before relying on them for commercial, financial, legal, or other decisions. Any reliance on AI-generated outputs is at your own risk.

14. Acceptable Use

You agree not to use the Service for illegal, harmful, misleading, or abusive activities. You also agree not to reverse engineer, scrape, copy, resell, redistribute, or attempt to extract source code, models, prompts, workflows, or proprietary logic from the Service.

You agree not to circumvent, disable, or otherwise interfere with any access restriction, subscription check, or payment mechanism of the Service, and not to obtain or attempt to obtain access to paid features without a valid subscription.

You may not use the Service to build, train, or operate a competing product or service, or to misuse the outputs in a way that infringes the rights of Fonda or any third party.

15. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or that any generated idea, plan, output, recommendation, or website will lead to commercial success, funding, customer acquisition, or any specific result.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Fonda shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, revenue, business opportunities, or expected savings, arising out of or related to your use of the Service.

To the maximum extent permitted by applicable law, Fonda’s total aggregate liability arising out of or related to the Service shall not exceed the total amount paid by you to Fonda in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.

17. Termination

You may cancel your subscription or delete your account at any time. Subscription fees already charged remain payable and non-refundable, and no further payments will be taken after cancellation takes effect.

Before deleting your account, you may request a copy of your content by contacting hello@fonda.co. Following account deletion, content may be removed from our systems in accordance with our Privacy Policy and applicable law.

We reserve the right to suspend or terminate your access to the Service if you breach these Terms, misuse the Service, create security or operational risks, or otherwise harm Fonda, the Service, or other users.

18. Applicable Law and Dispute Resolution

These Terms are governed by applicable laws, including any mandatory consumer protection rules that may apply in your country of residence. Nothing in these Terms limits rights you may have under mandatory laws.

If a dispute arises, you agree to first contact Fonda at hello@fonda.co so that we can try to resolve the matter amicably. Where permitted by law, any dispute that cannot be resolved amicably shall be brought before the competent courts determined under applicable procedural rules.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, including changes to pricing, billing, or conditions of access to the Service, we will notify you by email or through the Service at least thirty (30) days before they take effect for your account.

Continued use of the Service after such changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.

20. Other Policies

Your use of the Service is also governed by our Privacy Policy, which forms an integral part of these Terms.
